Terms of Service


Orbya is a restaurant communication and operational support service operated by Worldwide Talks LLC, a limited liability company organized under the laws of the State of Delaware, United States ("Orbya," "Worldwide Talks LLC," "we," "our," or "us").

These Terms of Service ("Terms") govern your access to and use of our website located at www.orbya.us, our communication services, software, systems, and any related products or services offered by Orbya.

By accessing our website, requesting our services, or entering into a business relationship with Orbya, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.


If you do not agree with these Terms, you should not use our website or services.


1. Definitions

For purposes of these Terms, the following definitions apply:

Agent means any employee, contractor, or authorized representative providing services on behalf of Orbya.

Client means any restaurant, food service business, or organization that contracts Orbya's services.

Customer means any individual contacting a Client through Orbya's communication services.

Confidential Information means any non-public business, operational, financial, technical, customer, or commercial information disclosed by either party.

Services means the restaurant communication services provided by Orbya, including but not limited to call answering, order taking, customer support, restaurant communication, business continuity support, quality assurance, and related operational services.

Website means www.orbya.us.

2. About Orbya

Orbya provides professional communication services exclusively designed for restaurants and food service businesses.

Our mission is to help restaurants improve customer communication, reduce missed calls, and enhance operational efficiency through professional bilingual remote agents.

Orbya acts solely as an operational communication partner.

Unless expressly agreed otherwise in writing, Orbya does not operate restaurants, prepare food, deliver products, manage employees, process payments, or make operational decisions on behalf of its Clients.

3. Eligibility

You may use Orbya's Services only if:

You are at least eighteen (18) years of age.

You have legal authority to represent your business.

You are capable of entering into legally binding agreements.

You provide accurate, current, and complete information.

If you are accepting these Terms on behalf of a company or restaurant, you represent that you have the authority to bind that organization.

Orbya reserves the right to refuse or terminate service to any person or business at its sole discretion.

4. Description of Services

Orbya provides communication support services that may include:

Live telephone answering

Food order taking

Reservation assistance

Customer information services

Restaurant communication

Escalation management

Business continuity support

Quality assurance

Call recording

Customer service support

Operational communication

The scope of Services may vary depending on each individual Client agreement.

Orbya may expand, improve, modify, or discontinue certain Services at any time.

5. Scope of Services

Orbya provides communication services only.

Unless otherwise agreed in writing, Orbya does not provide:

Food preparation

Food delivery

Restaurant management

Inventory management

Employee scheduling

Financial services

Accounting

Marketing services

Legal advice

Payment processing

Operational responsibility always remains with the Client.

6. Client Responsibilities

Clients agree to:

Maintain accurate menus.

Provide updated pricing.

Inform Orbya of unavailable items.

Notify Orbya of temporary closures.

Communicate changes to business hours.

Inform Orbya of promotions.

Maintain current contact information.

Respond promptly to operational escalations.

Review operational procedures when requested.

Clients remain solely responsible for the accuracy of all information provided.

Orbya shall not be liable for losses resulting from outdated, incomplete, or inaccurate information supplied by the Client.

7. Service Availability

Orbya provides Services during the operating schedule established in each individual Client agreement.

While we strive to maintain continuous availability, uninterrupted service cannot be guaranteed.

Service interruptions may occur due to circumstances including but not limited to:

Internet outages

Electrical failures

Telecommunications interruptions

Third-party platform failures

Cloud service disruptions

Natural disasters

Government actions

Cybersecurity incidents

Scheduled maintenance

Force majeure events

Orbya maintains internal Business Continuity Procedures designed to minimize operational disruption whenever reasonably possible.

8. Business Continuity

Orbya maintains documented continuity procedures to support ongoing communication services during operational disruptions.

These procedures may include:

Backup Agents

Alternate internet connections

Call forwarding

Internal escalation procedures

Temporary communication channels

Operational failover procedures

While these procedures are designed to reduce downtime, Orbya does not guarantee uninterrupted service under every circumstance.

9. Service Standards

Orbya is committed to delivering professional, accurate, and consistent communication services.

Our Agents receive internal training and follow standardized operational procedures designed to maintain service quality across all Client interactions.

Quality assurance activities may include:

Call monitoring

Call recording

Internal evaluations

Performance reviews

Operational audits

Continuous process improvement

These activities are conducted exclusively for operational improvement, training, quality assurance, and dispute resolution.

10. Call Recording

To maintain service quality, improve operational performance, provide employee training, resolve disputes, and ensure service continuity, Orbya may record all telephone calls handled through its Services.

Call recordings may be used for:

Quality assurance;

Employee training and coaching;

Operational audits;

Client-requested investigations;

Complaint resolution;

Service improvement;

Compliance with applicable legal obligations.

Orbya will retain call recordings only for as long as reasonably necessary for these purposes or as required by applicable law.

Where applicable law requires notice or consent prior to recording, the Client remains responsible for requesting any legally required notifications within its own business operations unless otherwise agreed in writing.

11. Order Accuracy

Orbya's Agents are trained to accurately record and communicate customer orders based solely on the information provided during each customer interaction.

Before completing an order, Agents may confirm the order details with the customer whenever reasonably possible.

Although Orbya strives for the highest possible level of accuracy, Clients acknowledge that communication services inherently rely upon information provided by customers.

Orbya shall not be responsible for losses resulting from:

Incorrect information provided by customers;

Menu inaccuracies supplied by the Client;

Pricing discrepancies;

Inventory shortages;

Food preparation errors;

Packaging mistakes;

Delivery errors;

Restaurant operational decisions;

Customer modifications made after the order has been transmitted.

Final responsibility for preparing, verifying, and delivering each order remains exclusively with the Client.

12. Payment Processing

Unless expressly agreed in writing under a separate agreement, Orbya does not process customer payments.

Orbya does not intentionally collect, store, or retain payment card information.

If payment information is temporarily disclosed during a customer interaction, Agents are instructed to use such information solely for the immediate purpose authorized by the Client and not to intentionally retain such information after completion of the transaction.

Any payment processing services separately agreed upon shall be governed by additional written terms between Orbya and the Client.

13. Confidentiality

Orbya recognizes that its Clients entrust the company with valuable business information.

Accordingly, Orbya agrees to maintain the confidentiality of all Confidential Information received from Clients during the course of providing Services.

Confidential Information includes, but is not limited to:

Business operations;

Customer information;

Internal procedures;

Pricing information;

Menus;

Operational schedules;

Marketing plans;

Financial information;

Technical information;

Business strategies.

Orbya implements reasonable administrative, technical, and organizational safeguards to protect Confidential Information from

unauthorized access, disclosure, or misuse.

Likewise, Clients agree not to disclose Orbya's proprietary information, internal documentation, operational procedures, training materials, software, or other confidential business information without prior written authorization.

These confidentiality obligations survive termination of the business relationship.

14. Data Handling

Orbya follows a data minimization approach.

Our Agents are instructed to collect only the information reasonably necessary to perform the requested Service.

Unless necessary for complaint resolution, dispute management, legal compliance, or operational investigations, Orbya does not intentionally retain:

Credit card information;

Debit card information;

Payment security codes;

Sensitive authentication information;

Personal financial information.

Certain customer information, such as names and telephone numbers, may be temporarily retained when necessary to:

Resolve customer complaints;

Investigate operational incidents;

Support quality assurance;

Fulfill legal obligations.

15. Intellectual Property

All intellectual property rights relating to Orbya and its Services remain the exclusive property of Worldwide Talks LLC.

This includes, without limitation:

Orbya name;

Logos;

Branding;

Website content;

Software;

Documentation;

Standard Operating Procedures (SOPs);

Training materials;

Internal workflows;

Operational methodologies;

Graphics;

Designs;

Databases;

Written content.

Nothing contained in these Terms grants any license or ownership rights except as expressly stated.

Clients may not reproduce, distribute, modify, or create derivative works based upon Orbya's intellectual property without prior written consent.

16. Acceptable Use

Clients agree not to use Orbya's Services for any unlawful, fraudulent, abusive, or unauthorized purpose.

Clients shall not:

Provide false information;

Use the Services to facilitate illegal activities;

Attempt to interfere with Orbya's systems;

Circumvent security measures;

Harass Orbya personnel;

Reverse engineer proprietary systems;

Misrepresent Orbya's Services.

Orbya reserves the right to suspend Services immediately if unlawful or abusive conduct is detected.

17. Suspension of Services

Orbya may suspend or temporarily restrict Services when reasonably necessary to:

Protect its systems;

Protect employees or contractors;

Investigate fraud;

Address cybersecurity incidents;

Comply with legal obligations;

Prevent unauthorized access;

Respond to emergencies;

Enforce these Terms.

Whenever reasonably practicable, Orbya will provide notice before a suspension takes effect.

However, prior notice may not be possible in situations involving security risks, fraud, or legal requirements.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Worldwide Talks LLC, doing business as Orbya, shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of our Services.

This limitation includes, but is not limited to:

Loss of revenue;

Loss of profits;

Loss of business opportunities;

Loss of goodwill;

Business interruption;

Data loss;

Customer dissatisfaction;

Operational delays;

Third-party actions.

Orbya provides communication support services only.

Accordingly, Orbya shall not be responsible for:

Food quality;

Food preparation;

Incorrect food preparation;

Delivery delays;

Delivery failures;

Inventory shortages;

Menu inaccuracies provided by the Client;

Pricing errors supplied by the Client;

Restaurant staffing issues;

Customer disputes unrelated to Orbya's communication services.

Except where prohibited by law, Orbya's total cumulative liability arising from any claim shall not exceed the total amount paid by the Client for the Services during the three (3) months immediately preceding the event giving rise to the claim.

19. Indemnification

The Client agrees to defend, indemnify, and hold harmless Worldwide Talks LLC, Orbya, its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, costs, expenses, and reasonable attorneys' fees arising out of or related to:

The Client's misuse of the Services;

Violation of these Terms;

Violation of applicable laws or regulations;

Information supplied by the Client;

Restaurant operations;

Customer claims unrelated to Orbya's communication services.

This obligation survives termination of these Terms.

20. Force Majeure

Orbya shall not be liable for any delay or failure to perform its obligations when such delay or failure results from circumstances beyond its reasonable control.

Such circumstances include, without limitation:

Natural disasters;

Floods;

Earthquakes;

Fires;

Hurricanes;

Pandemics;

Epidemics;

Government actions;

War;

Terrorism;

Civil unrest;

Internet outages;

Power failures;

Telecommunications disruptions;

Cybersecurity incidents;

Failures of third-party technology providers;

Labor disputes;

Any other event beyond Orbya's reasonable control.

Orbya will use commercially reasonable efforts to restore Services as quickly as practicable.

21. Termination

Either party may terminate the business relationship in accordance with the applicable service agreement.

Orbya reserves the right to suspend or terminate Services immediately if:

The Client materially breaches these Terms;

The Client engages in fraudulent activity;

Continued service presents a legal or operational risk;

Payment obligations remain outstanding;

Applicable law requires termination.

Termination shall not affect any rights or obligations accrued prior to the termination date.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

23. Dispute Resolution

The parties agree to make reasonable efforts to resolve any dispute through good-faith negotiations before initiating formal legal proceedings.

If a dispute cannot be resolved informally, it shall be submitted to the state or federal courts located in the State of Delaware, United States, which shall have exclusive jurisdiction over such dispute, unless otherwise required by applicable law.

24. Modifications to These Terms

Orbya may update these Terms from time to time to reflect changes in:

Applicable laws;

Business operations;

Technology;

Services;

Security practices;

Operational procedures.

Updated versions will become effective upon publication on www.orbya.us, unless otherwise stated.

Continued use of the Services after the effective date of any modification constitutes acceptance of the revised Terms.

25. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Any invalid provision shall be interpreted, to the maximum extent permitted by law, in a manner that most closely reflects the original intent of the parties.

26. Entire Agreement

These Terms, together with any applicable Service Agreement, Privacy Policy, or other written agreements between the parties, constitute the entire agreement between Orbya and the Client concerning the Services.

They supersede all prior discussions, negotiations, proposals, representations, or agreements relating to the same subject matter.
